Master Services Agreement

1. Scope of Agreement
This Master Services Agreement ("Agreement") governs the purchase of productized web development, design, and continuous optimization services provided by LaunchPoint Technologies ("Agency") to the purchasing entity ("Client"). By initiating a milestone build or subscribing to a retainer plan via the official payment portal, the Client agrees to all terms detailed herein.
2. Statement of Work & Project Milestones
Each project tier has a structured scope of work outlined below. Any changes to the scope must be agreed upon in writing.

3. Intellectual Property (IP) Transfer
Upon receipt of full and final payment for the milestone project (The AI-Ready Web Engine) or active maintenance payments (The LaunchPoint Management Retainer), the Agency transfers all rights, titles, and interests in the custom code, form integrations, design styles, and content created specifically for the Client under this Agreement. The Client owns the code repository fully, subject to standard open-source licenses for the framework (Astro, Tailwind CSS) used.
4. 30-Day Post-Launch Warranty
LaunchPoint Technologies stands behind its craftsmanship. All one-time milestone projects include a 30-day technical warranty window commencing immediately on the date of project handoff. Under this warranty, the Agency will resolve any software bugs, CSS display errors, broken navigation routes, or form submission issues free of charge. This warranty does not cover new feature requests or issues caused by Client modifications.
4.1 Performance & Compliance Benchmarks
System performance metrics (including Google PageSpeed Insights, Accessibility indices, and Google Rich Results Test passes) are verified and locked by the Agency using Google's official automated auditing tools at the exact hour of final project handoff.
The Agency warrants that the deployment meets our stated structural specifications upon delivery. The 30-Day Technical Warranty does not cover asset performance degradation, score drops, layout shifts, or validation failures caused by Client-side updates, unoptimized media uploads, or the installation of unapproved third-party scripts or tracking pixels post-handoff.
5. Retainer Cancellation & Termination
The LaunchPoint Management Retainer is billed on a month-to-month subscription model. The Client may cancel the subscription at any time by giving 10 days' notice before the next billing cycle. If the retainer is cancelled, all ongoing services (hosting maintenance, schema tune-ups, priority update hours, and managed Firebase console deployments) will cease at the end of the current paid billing cycle.
6. Limitation of Liability
In no event shall either party be liable for any special, indirect, incidental, or consequential damages. The Agency's maximum liability under this Agreement shall not exceed the total amount paid by the Client to the Agency for the specific project or retainer month in dispute.
6.1 Third-Party Cloud Infrastructure Disclaimer
Client explicitly acknowledges that LaunchPoint Technologies utilizes third-party global cloud infrastructure networks (including Google Cloud, Google Firebase, and external headless form routers) to host and route data for the Client.
The Agency carries zero liability for temporary platform downtime, local ISP routing failures, regional network latency, or global data center service interruptions executed by these upstream providers. Furthermore, the Agency is not liable for future structural updates or changes made to external advertising APIs (such as Google Ads or Meta) that alter backend data collection methods.
7. Client Account Responsibilities & Domain Maintenance
7.1 Account Domain Ownership
The Client retains primary legal and financial ownership of their top-level domain name registration through their preferred third-party registrar. It is the Client's sole responsibility to maintain active billing profiles and ensure timely domain renewal payments.
7.2 Administrative Credentials
The Client agrees to grant the Agency secure technical delegation access to their DNS manager solely for the purpose of configuring edge routing lines and automated SSL handshakes. The Agency is not liable for website downtime, security certificate lapses, or email delivery routing errors caused by the Client or a third party manually altering, deleting, or misconfiguring core DNS zone files after deployment.
